These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and SanusSys LLC, a Colorado limited liability company ("Company", "we", "us", "our"), governing your access to and use of the EtherView network monitoring and packet capture software ("Software") and the etherview.io website and related services ("Services").

BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, OR BY CREATING AN ACCOUNT, PURCHASING A LICENSE, OR OTHERWISE ACCESSING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, do not download, install, or use the Software or Services.

If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

info1. Agreement to Terms

By purchasing, downloading, installing, or using EtherView software ("Software"), you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional terms that may apply to specific features or services.

Eligibility: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet this requirement.

Electronic Agreement: You agree that by clicking "I Accept," downloading the Software, completing a purchase, or otherwise indicating acceptance, you are entering into a legally binding contract with the same legal effect as a physical signature.

Subject to your compliance with these Terms and payment of applicable fees, SanusSys LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software solely for your internal business or personal purposes.

2.1 License Tiers

• Personal Edition (EVPR): License valid for activation on 1 device owned or controlled by the licensee
• Professional Edition (EVPF): License valid for activation on up to 3 devices owned or controlled by the licensee
• Business Edition (EVBS): License valid for activation on up to 10 devices within a single organization
• Enterprise Edition (EVEN): Custom licensing for larger deployments (contact sales)

2.2 License Characteristics

• Each license key is unique, cryptographically signed, and tied to your account
• Licenses are subscription-based with annual or monthly billing
• Offline activation is supported for air-gapped or restricted environments
• License entitles you to use the Software version current at time of purchase plus updates during your subscription period

2.3 License Ownership

The license granted is a license to use, not a sale. SanusSys LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. You acquire no rights other than the limited license expressly granted herein.

3.1 Pricing and Billing

• All prices are quoted in United States Dollars (USD) unless otherwise specified
• Prices are subject to change; however, price changes will not affect existing subscriptions until renewal
• Payment is processed securely through our payment processor, Stripe
• You authorize us to charge your payment method for all fees and charges incurred

3.2 Subscription Renewals

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You may cancel auto-renewal at any time through your account portal
• Cancellation takes effect at the end of the current billing period
• We will send renewal reminders prior to charging your payment method

3.3 Taxes

Prices do not include applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying all taxes associated with your purchase. If we are required to collect taxes, they will be added to your invoice.

3.4 Failed Payments

If a payment fails, we will attempt to notify you and may retry the charge. If payment cannot be processed after reasonable attempts, your subscription may be suspended or terminated.

During your active subscription period, you are entitled to:

• Software updates, patches, and new features released during your subscription
• Email support with response times based on your license tier
• Access to documentation, knowledge base, and user guides

Support Limitations: Support is provided for the Software itself. We do not provide support for network configuration, third-party software, hardware issues, or matters outside the scope of EtherView functionality.

block5. License Restrictions and Prohibited Uses

You expressly agree NOT to:

5.1 License Violations

• Share, distribute, sell, lease, rent, lend, or transfer your license key to any third party
• Exceed the device activation limit for your license tier
• Use a single license across multiple organizations or business entities
• Allow unauthorized users to access or use the Software under your license
• Circumvent, disable, or interfere with license validation or activation mechanisms
• Use license keys obtained through unauthorized channels (including key generators, cracks, or resellers)

5.2 Technical Restrictions

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Modify, adapt, translate, or create derivative works based on the Software
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Interfere with or disrupt the integrity or performance of the Software or our servers
• Attempt to gain unauthorized access to any systems, networks, or data

5.3 Prohibited Activities

• Use the Software for any unlawful purpose or in violation of any applicable laws or regulations
• Use the Software to intercept, monitor, or capture network traffic without proper authorization
• Use the Software for industrial espionage, unauthorized surveillance, or privacy violations
• Use the Software to violate the privacy rights or intellectual property rights of others
• Use the Software in any manner that could damage, disable, or impair any network or systems
• Use the Software in violation of any applicable export control laws or regulations

The Software includes technological measures designed to prevent unauthorized use and protect our intellectual property rights.

• License keys are cryptographically signed using SHA256 and validated against our servers
• Device activations are tracked and enforced according to your license tier limits
• The Software may periodically verify license status with our activation servers
• Device fingerprinting is used to ensure license compliance (see Privacy Policy for details)

6.1 License Revocation

We reserve the right to revoke or suspend your license without refund if:

• The license was obtained through fraud, unauthorized resellers, or stolen payment methods
• You violate these Terms, particularly the restrictions in Section 5
• You fail to pay applicable fees or a chargeback is filed
• We detect attempts to circumvent license validation or activation limits
• The license key is shared publicly or on unauthorized distribution sites

6.2 Audit Rights

For Business and Enterprise licenses, we reserve the right to audit your use of the Software to verify compliance with these Terms. You agree to cooperate with any reasonable audit request and provide accurate information about the number of installations and users.

We stand behind our Software and want you to be satisfied with your purchase.

7.1 Money-Back Guarantee

• We offer a 14-day money-back guarantee from the date of initial purchase
• Contact support@sanussys.com with your order information to request a refund
• Your license key will be deactivated upon refund processing
• Refunds are processed to the original payment method within 5-10 business days

7.2 Refund Exclusions

Refunds are NOT available for:

• Requests made after the 14-day guarantee period
• Subscription renewals (cancel before renewal to avoid charges)
• Accounts terminated for violation of these Terms
• Licenses obtained through promotional pricing or special offers (unless specified)
• Users who have previously received a refund for EtherView

7.3 Chargebacks

If you dispute a charge with your bank or credit card company instead of contacting us first, your license will be immediately revoked and you may be banned from future purchases. We reserve the right to pursue collection of the disputed amount plus associated fees.

Your use of the Software is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

• We collect device information necessary for license activation and validation
• Payment information is processed by Stripe and never stored on our servers
• Device activation data is stored securely and protected using industry-standard measures
• We do not collect or transmit any captured network data from your use of the Software

8.1 Your Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials and license keys
• All activities that occur under your account
• Ensuring your use of the Software complies with all applicable laws and regulations
• Obtaining necessary authorizations before capturing network traffic
• Protecting any sensitive data you capture or analyze using the Software

The Software and all related materials, including but not limited to the source code, object code, user interface, design, graphics, logos, documentation, and all intellectual property rights therein, are and shall remain the exclusive property of SanusSys LLC.

• All rights not expressly granted in these Terms are reserved by SanusSys LLC
• Nothing in these Terms grants you any right to use our trademarks, logos, or branding
• The Software may include open-source components subject to their respective licenses

9.1 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Software ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without compensation or attribution.

• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including privacy, intellectual property, or other proprietary rights
• Any content you capture, store, transmit, or analyze using the Software
• Any unauthorized use of the Software by you or anyone using your account

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

13.1 Termination by You

You may terminate these Terms at any time by ceasing all use of the Software, deleting all copies from your devices, and closing your account. Termination does not entitle you to a refund of any fees paid (except as provided in Section 7).

13.2 Termination by Us

We may terminate or suspend your license and access to the Services immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to pay applicable fees when due
• We are required to do so by law
• We reasonably believe your use poses a security risk
• We discontinue the Software or Services (with reasonable notice)

13.3 Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must delete all copies of the Software from your devices
• We may deactivate your license keys and disable access to your account
• Sections 5 (Restrictions), 9 (IP), 10 (Disclaimer), 11 (Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) survive termination

These Terms and any dispute arising from or related to them or the Software shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

balance15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@sanussys.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Software shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

• Arbitration will be conducted in Denver, Colorado, or remotely by mutual agreement
• The arbitration shall be conducted by a single arbitrator
• The arbitrator's decision shall be final and binding
• Judgment on the award may be entered in any court of competent jurisdiction

15.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We may notify you by email or through the Software
• Material changes will take effect 30 days after posting (except where immediate effect is required by law)

Your continued use of the Software after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Software.

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and SanusSys LLC regarding the Software and supersede all prior agreements, understandings, and representations.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You shall not export, re-export, or transfer the Software to any prohibited country or person, or use it for any prohibited purpose under United States or other applicable export control laws.
